Eugen advises on various corporate endeavours, including facilitating the issuance of warrants for a public listed oil and gas company, overseeing corporate facilities, and conducting due diligence for merger and acquisition deals. He also handles commercial matters, drafting and reviewing a wide array of agreements for corporate clients, including government-owned entities, covering consultancy, share sales, services, agency, and distribution. In real estate, Eugen offers guidance on property acquisition, sales, leasing, and development projects for both corporate and individual clients in Malaysia.

 

Additionally, he provides ongoing advisory services on legal matters such as compliance with the Companies Act 2016, employment law, business licensing requirements, partnership agreements, and offers support to startups, including financial technology service providers.

Corporate & Commercial

​

  • Worked as a group legal counsel for a group of companies venturing into the blockchain industry, which have local presence in British Virgin Islands (“BVI”), Cambodia, China, Cyprus, Dubai, Taiwan, Singapore and Spain

  • Dispensed legal advice on commercial compliance frameworks to small and medium enterprises (“SMEs”), particularly on the laws pertaining to companies, anti-money laundering (“AML”), countering financing of terrorism (“CFT”) and proceeds of unlawful activities, contracts; financial services, personal data protection, cybersecurity, digital and electronic signature, and other corporate-related laws

  • Worked closely with a Singapore-based corporate secretarial services provider to ensure that the companies' incorporation of entities and acquisition of businesses in foreign jurisdictions are met and adhered with, including the process of winding up or striking off

  • Provided counsel to a compassionate client regarding the establishment of a foundation in accordance with the Trustee (Incorporation) Act 1952, overseen by the Prime Minister’s Department

  • Assisted in the drafting of commercial agreements for a wholly-owned subsidiary company formed under the Ministry of Health Malaysia (MOH) during its initial incorporation phase

  • Provided consultation to a Malaysian client on a venture concerning an online comprehensive real estate platform, facilitating the connection between developers and agents for the marketing of diverse property projects

  • Assisted a subsidiary of a Singaporean company in Malaysia with the acquisition of 22 acres of industrial land valued at 40 million MYR at Negeri Sembilan

  • Acted as legal representative for several anchor tenant clients, conducting comprehensive reviews of commercial premises lease agreements within shopping malls and airports

  • Prepared, reviewed and attended to legal documentation in relation to conveyancing and loan documentation, ranging for prominent housing development projects at Kuala Lumpur and Selangor from the initial until completion stage

Regulatory & Compliance

  • Provided support to a foreign exchange and contract for difference company located in Cyprus in successfully navigating the process of removal from the investor's alert list maintained by the Malaysia Securities Commission

  • Drafted legal framework for a digital assets’ platform incorporated in BVI in compliance with the Proceeds of Criminal Conduct Act 1997 and its subsidiary legislations, i.e., the Anti-Money Laundering Regulations 2008 and the Anti-Money Laundering and Terrorist Financing Code of Practice 2008. The legal framework includes the customer due diligence (“CDD”) and risk profiling checklist for the onboarding procedure, policies for the day-to-day operations on depositing and withdrawal of digital assets, internal policies for the risk and compliance team to supervise the key compliance activities, compliance monitoring, investigating compliance breaches and reporting requirements

  • Analysed and formulated a relevant risk-based approach (“RBA”) methodology to a foreign exchange company based in the Saint Vincent and the Grenadines on the RBA guidance issued by the Financial Action Task Force

  • Assisted clients in technology-law-related legal matters such as the issuance of initial coins offerings (“ICO”), compliance of foreign and local digital assets trading platform’s guidelines, advisory on compliance of laws and structuring of know your customer (“KYC/e-KYC”) solutions for FinTech companies and the application of blockchain

  • Prepared the requisite documentation verification checklists for CDD, simplified CDD and enhanced CDD in different jurisdictions for a digital asset trading platform

     

Cryptocurrency, FinTech & Blockchain Technology

  • Assisted in providing guidance to an international financial technology company specialising in financial products comparison regarding regulatory compliance and the Financial Technology Regulatory Sandbox Framework established by Bank Negara Malaysia

  • Advised a leading technology company incorporated in Singapore which develops an array of products and services powered by blockchain technology in terms of regulatory compliance. To be specific, proposed legal solutions for the tokenisation services offered by this company in order to assure its compliance with the AML regulations by the Monetary Authority of Singapore (“MAS”) through consultation with local prominent law firms

  • Sat on the Exclusive Advisory Board (“EAB”) and worked closely with the Securities and Exchange Commission of Cambodia (“SECC”) and the government of Cambodia by providing professional knowledge and skills for the establishment and development of FinTech and blockchain technology in the securities sector in Cambodia

  • Advised actively in the consultation and legal compliance of ICO and digital token and assets (e.g., cryptocurrency) trading platform (e.g., exchange) locally and internationally
