• Participated in M&A exercise involving a RM2.55 billion disposal of the client’s entire equity interest and redeemable unsecured loan stocks of its subsidiary

• Involved in IPO exercises, including the largest IPO of year 2020 on the Main Market of Bursa Malaysia

• Rendered general corporate legal advice to various clients, such as insurance companies, digital investment management company, start-up companies, and dental clinics, and advised on their shareholders' or partnership arrangement, company structure, joint venture arrangement, as well as corporate governance matters

• Drafted and reviewed various commercial agreements including services agreement, software development agreement, raw material purchase agreement, marketing agreement, NDAs, etc

• Handled corporate secretarial matters, including preparation of annual returns, board resolutions, shareholders resolutions as well as preparation of documents for dissolution of companies

• Involved in various corporate exercises by public listed companies, including but not limited to the acquisition of property by a listed REIT, IPO exercise on the Main Market of Bursa Malaysia, bonus issue exercise, and sale of shares     

• Drafted Constitution for a public limited company (Berhad)

• Advised a financial technology company in respect of its participation in the Regulatory Sandbox for its proposed digital financial / insurance services, and drafted the relevant documents for the client’s business, including insurance and takaful documents, and investment management agreement

• Advised a digital platform which bridges digital asset and real property ownership, reviewed all contracts relating to its business and prepared template contracts to be used for the business. Conducted seminars and workshops for the client’s agents and employees on the business and trust structure

• Advised on licensing procedures to carry out Labuan financial service business such as money broking business and credit token business, and drafted business proposal as well as AMLA/CFT framework for the submission to Labuan Financial Services Authority

• Advised on the licensing requirements of a proposed blockchain based electric vehicle infrastructure business
